These Terms of Service (“Agreement”) govern your use of Kishan Care ERP, a product offered by Yuwasoft Technologies Pvt. Ltd. and its affiliates ("Kishan Care", "we", "us", or "our"). By using the Service or accepting this Agreement electronically, you agree to these terms on behalf of the entity you represent ("Customer"). You confirm that you have the authority to bind such an entity to this Agreement.
Each of Kishan Care and the Customer may be referred to as a “Party,” and collectively as the “Parties.”
If you do not agree with these terms, do not proceed to use the Service.
1. Service Description
Kishan Care ERP is a cloud-based software designed for the agriculture and dairy industry. The platform offers modules for:
- Accounting & Bookkeeping
- Inventory Management
- Billing & Invoicing
- Bank Reconciliation
- CRM & Document Management
- Expense Tracking
- Milk Collection & Farmer Records
- Financial Reports, and more.
Functionality may vary by subscription plan. We reserve the right to update or enhance features, with appropriate notice.
2. Account Registration & Privacy
Access requires account creation. You agree to provide accurate and up-to-date registration information and to keep it current. Usage of your data is governed by our Privacy Policy.
3. Organization Accounts & Admin Roles
- The first user creating an organization account is assigned the Admin role.
- Admins manage permissions, users, and configurations.
- Administrator changes must be submitted via email to support@kishancare.com.
4. Computerized Billing Compliance
- If you opt into Computerized Billing: Both Parties agree to follow the Inland Revenue Department’s Electronic Billing Procedure, 2074.
- Non-compliance consequences lie with the violating Party.
5. Subscriptions & Renewals
- All fees must be paid in advance.
- Invoices are issued only after payment confirmation.
- Fees are non-refundable.
- Subscriptions auto-renew unless cancelled prior to renewal.
- Mid-term cancellations are non-refundable.
6. Trademark Notice
All trademarks, including the Kishan Care logo, are property of Yuwasoft Technologies Pvt. Ltd. Unauthorized use is prohibited.
7. Confidentiality
We will not disclose your confidential data without written consent, unless legally required. In such cases, we will make reasonable efforts to notify you in advance.
8. Data Security, Backup & Recovery
We implement technical and organizational measures to:
- Prevent unauthorized access.
- Maintain encrypted backups.
- Ensure timely notifications in case of a breach. Our liability for data issues is limited as described below.
9. Data Ownership
You retain full ownership of your data. We do not claim rights over your content but may disclose data when legally obligated.
10. Data Retention Post-Termination
- Upon account termination: You’ll have a 30-day grace period to export data.
- Data is permanently deleted within 60 days.
- In case of no communication, deletion occurs after 120 days.
- IRD-compliant data is retained per regulatory requirements.
- A read-only version may be offered post-termination (except IRD-compliant clients).
11. Force Majeure
Neither Party will be liable for events outside their control (e.g., natural disasters, legal changes, server failures).
12. Prohibited Uses
You may not use the service for illegal or unauthorized purposes. We reserve the right to suspend accounts for misuse.
13. Termination
This Agreement remains effective during your active subscription. Termination may be requested at any time; however, no refunds will be issued for prepaid amounts.
14. Limitation of Liability
To the extent allowed by law, Kishan Care is not liable for indirect damages, lost profits, or data losses.
15. Indemnification
Each Party agrees to indemnify the other against claims arising from breaches of this Agreement.
